Bylaws

of  the

California  Council  of  Electronics  Instructors,  Inc.

 Dated:  October 28, 2002

Article I.  Dues

Section 1.  Annual dues of the organization shall be set by the  Executive Board and approved by  a majority vote of the membership at the next general meeting.

Section 2.  Dues shall be based on the calendar year (January 1 through December 31).

Section 3.  Dues shall be payable to  the Treasurer on or before the first day of January.

Article II.  Duties of the Officers

Section 1 .  The President shall preside at all meetings; shall appoint all committees except as otherwise specified; shall be an ex-officio member of all committees except the election committee.  The President shall function as Organization Liaison and shall represent this organization to other organizations. The President shall perform such other duties as may be required by the Board of Directors.

Section 2.   The President-elect shall be responsible for such duties as may be required by the Board of Directors and in the absence of the President, temporarily or permanently, shall perform the duties of that  office.

Section 3.  The Past-President will be a Board representative on the Awards Committees, and will serve as chairperson of the nominating committee.

Section 4.  The Treasurer shall  maintain accounting records of all moneys received by the organization; sign all checks; pay out funds only on authorization of the Executive Board, and give a semiannual written report.

Section 5.   The Secretary shall keep a true and correct record of all proceedings; give a report as required by the organization; shall be responsible for the collection and distribution of all correspondence sent to the organization post office box; the depositing of all checks received payable to the organization; the forwarding of all deposit forms to the Treasurer and membership information to the Membership Chairperson; and the forwarding of all individual correspondence to officers and Board members as required.

Section 6.  The five voting members of the Board of Directors will individually have specific duties and obligations.  These will usually be the functions listed below:

a. Conference/Workshop Coordinator, North assures that all planning for the conference held in the North is accomplished and reports to the Board about this at the Board meeting preceding the conference.   During the conference, the Coordinator shall assist the Conference Registrar with membership and registration duties. The Coordinator also solicits and establishes workshops, geographically located in Northern California,  nominally 3 per year.

b.  Conference/Workshop Coordinator, South assures that all planning for the conference held in the South is accomplished and reports to the Board about this at the Board meeting preceding the conference.  During the conference, the Coordinator shall assist the Conference Registrar with membership and  registration duties. The Coordinator also solicits and establishes workshops, geographically located in Southern California, nominally 3 per year.

c.  Conference Registrar is responsible for all conference registration procedures.

d.  Membership and Recruitment Chairperson shall be responsible for the membership list, updating it twice annually, shall be responsible for recruiting new members; keeping in contact with retired members, and following-up with members who have become inactive or delinquent in paying dues.

e.  Publicity and Newsletter Chairperson shall publish the newsletter 4 times a year; notify the membership of any significant or newsworthy activity as deemed necessary by the Board;  and work with and advise the publication committee.

Section 7.   Appointed Offices

a.  The President shall appoint a Historian whose duty will be to maintain a written and photographic history of the organization. 

b.  The President shall appoint a Chairperson for the  Maxwell Award whose duty will be to establish a committee to determine the recipient for the Maxwell Award and arrange for its presentation.  The Immediate Past-President shall be a member of the committee.

c.  The President shall appoint a Web Site Coordinator whose duty will be to host the CCEI Web Site.

d.  The President shall appoint a Publication  Chairperson whose duty will be to establish  a committee to assist the Publicity and Newsletter Chairman.

Section 8.  The Executive Board shall:

a.  have a minimum of eight voting members present to make up a quorum.

b.  authorize all payments of moneys and transact all emergency business.

c.  fill all vacancies of elected officers except the offices of President and President-Elect.

d.  approve all expenditures greater than $50.00.

e. perform such other duties as the organization may require.

Article III.  Amendment of the By-Laws

Section 1.  An amendment to these by-laws must be originated by petition from five members in good  standing.

Section 2.  Petitions for amendment, including exact wording of the amendment, must be presented to the Secretary at least two months before the general meeting.  The Secretary will  distribute copies of the proposed amendment to all members by mail and the CCEI Web Site at least one month before the general meeting.

Section 3. The proposed amendment may be amended by a majority vote of the members present at the general meeting where the amendment is presented and voted on without further delay.

Section 4. To be ratified, an amendment to the by-laws requires a majority (50% +1) of the members present at any general meeting.

Article IV.  Information Regarding Conferences and Board Meetings

Section 1.  Whenever possible, the conference shall be held the last weekend in October and the first  weekend in March if the Board determines that a spring conference shall be held.

Section 2.  It shall be the responsibility of the Conference Host to provide conference information at least ten  weeks in advance of the date of the conference, and to provide mail reservation information at least six weeks prior to the conference.

Section 3.  Board meetings shall be conducted at each conference  and, as deemed necessary by the President, during January, May and September of each year.
