of  the

California Council of  Electronics Instructors, Inc.

Article I.  Name

The name of this organization shall be California Council of Electronics Instructors, Inc. (Abbreviated CCEI).

Article II.  Object

Section 1.  The objective of the organization shall be educational.  The aims shall include:

a.  increasing the of knowledge base in the theory and practice of electronics as it applies to communications, electronic control, medicine, computers, space projects, industry, other applied fields,  related arts and sciences, and

b.  dissemination and explanation of improved practices in the organization and teaching of electronics.

Realization of these aims will be encouraged by meetings,  discussions and exchange of instructional materials, and other courses of instruction and matters appropriate for the fulfillment of these objectives.

Section 2.  The scope of the activities of this organization shall include improvement of instruction in electronics and related sciences in secondary schools, proprietary schools, community colleges,  and universities.

Article III.  Membership

Section 1.  The membership of CCEI shall consist of  individuals in good standing who shall be  entitled to all rights and privileges of the organization.

Article IV.  Membership Qualification

Section 1.  All persons interested in electronics instruction or related fields shall be eligible for  membership by indicating their desire to the executive officers, attending meetings, and by payment of yearly dues.  The period of membership shall be one year from January 1 through December 31.

Article V.  Officers, Board of Directors, ExecutiveBoard, and Their Terms of Office

Section 1.  The leadership of this organization shall consist of five elected officers to include a President, President-Elect, Immediate Past President, Secretary, and Treasurer, along with an elected Board of Directors consisting of five voting members who will have specific duties as specified in the Bylaws.  The officers and Board shall appoint four nonvoting committee chairs, the Maxwell Award Chairperson; Publication Chairperson; Web Site Chairperson; and Historian.  All individuals standing for election or appointment shall be members in good standing.

Section 2. The Board of Directors shall call for an election of officers at the first general meeting each year.

Section 3. The term of office of President, President-Elect, Treasurer, and Secretary shall be two years.  The Immediate Past-President shall serve as a member of the Board for two years following his term of office as President.  The other five Board members shall be elected for two-year terms.  Two of these five members shall be elected on an even numbered year and the other three shall be elected on an odd numbered year.

Section 4.   The duties of each officer, Board Member, and appointee shall be outlined in the by-laws.

Section 5.  The Executive Board of CCEI shall consist of the five member Board  of Directors , the President, President-elect, Secretary, Treasurer, and the Immediate Past-President.  All will have voting privileges.  The President shall act as Chairperson of the Board.

Section 6.   The Board of Directors shall have the option of appointing a person to replace an officer or Board member who resigns or fails to attend two consecutive meetings.

Article VI.  Conferences and Meetings

Section 1.  The organization shall have at least one conference each year to be held in the Fall.   Any conference shall include a general meeting of the membership.

Section 2.  Conference times and locations will be determined by the Executive Board in cooperation with the hosting school  or organization and the program chairperson.

Section 3.  Additional meetings may be called by the  Executive Board if the needs of the organization demand.

Section 4.  All meetings  of this organization, including board meetings, shall be conducted in accordance with Parliamentary Procedures as outlined in Robert's Rules of Order.

Section 5.  Meetings whether in  person or by other means of communications shall have equal authority.

Article VII.  Committee for Nomination and Elections

Section 1.  The Immediate Past-President shall be the chairperson of the nominating committee.  A  committee of two members in good standing shall be appointed by the Board of Directors.  This committee will prepare a slate of officers and directors to be presented to the membership at the fall general  meeting for election.  The committee will prepare the ballots and announce the election results.  These shall be published in the Newsletter reporting the meeting as well as on the CCEI Web Site.

Section 2.  At the fall conference general meeting, the chairperson of the committee must request additional nominations from the floor prior to the balloting and any such nominee must indicate a willingness to serve.

Section 3.  All officers and Board  members shall be declared elected by a majority vote of the members present at the election.

Section 4.  Officers shall progress through the chairs of President-elect, and President whenever possible.

Article VIII.  Amendment of the Constitution

Section 1.  Amendments to this constitution must be originated by petition from ten members in good  standing.

Section 2.  Petitions for amendment, including exact wording of the amendment, must be presented to the Secretary at least two months before the general meeting.  The Secretary shall  assure distribution of copies of the proposed amendment to all members and posted on the CCEI Web Site at least one month before the general meeting.

Section 3.  The proposed amendment may be amended  by a majority vote of the members present at any general election where the amendment is presented and voted on without further delay.

Section 4.  To be ratified, an amendment to the constitution  requires a majority of 50% +1 of the members present at any general meeting.
